Terms and Conditions of the “Tender - Goods from abroad” promotion (hereinafter referred to as the “Terms”)
1. General provisions
1.1. These Terms define the procedure for conducting the “Tender - Goods from Abroad” promotion (hereinafter referred to as the “Promotion”).
1.2. The Promotion is organized by Internet Solutions LLC (OGRN 1027739244741, TIN 7704217370, legal address: 123112, Moscow, Presnenskaya Naberezhnaya, 10, Premises I, est. 41, room 6) (hereinafter referred to as the “Organizer”).
1.3. The period of each Promotion is specified in the Personal Account in the section “Products for the tender”: from 00 hours 00 minutes of the sales start date to 23 hours 59 minutes of the sales end date (Moscow time) (hereinafter - “Promotion Period”).
2. Promotion conditions
2.1. A legal entity or an individual entrepreneur registered in the People’s Republic of China, Hong Kong (Special Administrative Region of the PRC), Macao (Special Administrative Region of the PRC), Taiwan (Republic of China), Republic of Turkey and registered as a Seller at seller.ozon.ru can apply for participation in the Promotion (hereinafter - “Participant”).
2.2. Individuals who are clients on the ozon.ru website do not have the right to participate in the Promotion.
2.3. In order to apply for participation in the Promotion, the legal entity or the individual entrepreneur specified in the clause 2.1 of the Terms shall meet the following conditions:
- shall have the Product Description Pages that can participate in the Promotion. Such Product Description Pages are specified in the section “Products for the tender” in the Personal Account;
- shall submit an application to participate in the Promotion by adding a Product Description Page to the Promotion identified in the section “Products for the tender” in the Personal Account within the application period specified in the section “Products for the tender” in the Personal Account (hereinafter - “Application Period”);
- the price of the product in the application cannot be higher than the current price of the product and the maximum tender price of the product for participation in the Promotion specified in the section “Products for the tender” in the Personal Account;
- the quantity of products in the application cannot be less than the minimum quantity of products for participation in the Promotion, specified in the section “Products for the tender” in the Personal Account.
3. The procedure of Promotion
3.1. If the Participant meets the conditions of the section 2 of these Terms, the Participant will have a right to apply for the Promotion.
3.2. On the date of announcement of the winners, specified in the section “Products for the tender” in the Personal Account, the Organizer announces the winners of the Promotion and the specific Product Description Pages of the winners, which will participate in the Promotion (hereinafter - “promotional products”). The number of winners and promotional products shall be determined by the Organizer independently and depends on the number of Participants meeting the criteria specified in the clause 3.3 of the Terms.
3.3. The following criteria shall be considered in selecting winners and promotional products:
- The price of the product specified in the application;
- The quantity of products for participation in the Promotion, specified in the application;
- Rating of the Product Description Page;
- The Participant’s ranking as a Seller on the ozon.ru website;
- Percentage of cancelations and returns in the last 28 days;
- Customized method of delivery via Fulfillment-Partner (FBP warehouse);
- Content rating of the Product Description Page (filling of product description page characteristics);
- Number of product reviews.
3.4. Before the start date of the Promotion, the winner of the Promotion shall bring the quantity of the promotional products in accordance with the quantity indicated in the application for participation in the Promotion.
During the Promotion Period the price of the promotional products shall be set within the price specified by the winner of the Promotion in the application for participation in the Promotion.
3.4.1. In case the winner reduced the price of the promotional product in Personal Account and indicated a price lower than the price of the promotional product in the application for participation in the Promotion, the winner instructs the Organizer to reduce the price of the promotional product according to the formula: the price of the promotional product indicated by the winner in the Personal Account minus 0.01 (zero point zero one) unit of the Seller’s contract currency under the Contract for placement of goods from abroad on the Ozon Platform (cross-border) (hereinafter – “Contract”). The Organizer notifies the winner of the change in the price of the promotional product according to this clause within 1 (one) business day from the moment of the change, by sending a notice to the e-mail address specified in the Personal Account, as well as by sending a notice in the Personal Account.
3.5. Ozon’s remuneration under the Contract, specified in the “Ozon Fees and Tariffs Section”, for the sale of promotional products by the Participant winner of the Promotion is 1% during the Promotion Period and covers, inter alia, Ozon’s obligation to boosting of product description pages of promotional products, in the framework of which, due to special ranking within the course of the Promotion, the product description pages appear higher in search and recommendation sections (hereinafter – “Ozon’s remuneration”). Ozon’s remuneration is calculated from the minimum price of the promotional product after applying all discounts in the winner’s Personal Account.
4.Final provisions
4.1. The Participant of the Promotion confirms that he/she is familiarized with these Terms, unconditionally and irrevocably accepts them and guarantees that he/she will comply with them during the Promotion Period.
4.2. The terms and conditions of the Promotion may be unilaterally changed by the Organizer by posting an updated version of these Terms at the link: https://docs.ozon.ru/global/en/promotion/tenders/tender-terms/, including, but not limited to, the Organizer has the right to early termination of the Promotion.
4.3. Participants of the Promotion are obliged to independently monitor all and any changes in these Terms at the link: https://docs.ozon.ru/global/en/promotion/tenders/tender-terms/, and the Participants of the Promotion are not entitled to claim any compensation and/or damages in connection with the Organizer’s changes to these Terms in accordance with the clause 4.2 of the Terms.
4.4. The Organizer shall not be liable for events and circumstances beyond the reasonable control of the Organizer, as well as shall not be liable for:
- failure to familiarize the Participants of the Promotion with the Terms;
- provision of incorrect or incomplete information by the Participants of the Promotion;
- errors, malfunctions in the software accounting for Participants, payment transactions and Orders.
4.5. Decisions of the Organizer on all issues of the Promotion are considered final and apply to all Participants of the Promotion.
4.6. The Organizer reserves the right not to enter into written negotiations or other contacts with the Participants, except as expressly provided for in the Terms.
4.7. In case of disputes, the Parties shall endeavor to settle them through a pre-trial procedure. Any dispute that has not been resolved by pre-trial procedure shall be resolved by the Moscow City Arbitrazh Court in accordance with the laws of the Russian Federation.
