1. Definitions #
In order to avoid ambiguity and other misunderstandings in the interpretation of this Section, the Parties have agreed on the following meanings of the following terms:
API means a set of classes, procedures, functions, structures, variables or constants agreed upon by the Parties, with the help of which the systems of Ozon and Logistics Partner exchange information, including, but not limited to: Requests, information about the Sender, Recipient, addresses, weight and size characteristics of goods, cost of goods.
Declarant means an individual who is a Client and a Recipient, on whose behalf Logistics Partner will carry out customs clearance of the Shipment, while being a declarant within the meaning of the Customs Code of the Eurasian Economic Union.
Contract for the placement of goods from abroad on ozon.ru (cross-border) means a contract posted at https://docs.ozon.ru/global/contracts-for-sellers/dogovor/.
Delivered Shipment means a Shipment that is duly handed over to the Client in accordance with this Section and its annexes, including Logistics Partners Regulations (when providing freight forwarding services for organizing the international transportation).
Order means Goods or set of Goods that the Client ordered from the Sender on the Ozon Platform.
Request means a task for the provision of freight forwarding services for organizing the international transportation of Shipments, containing a set of data on Shipments, recipients, delivery times and other necessary data, sent through IS.
IS (Information System) means a set of information contained in Ozon electronic database on the status and movement of Shipments, on the progress of the provision of services by Logistics Partner, other information and means of its processing for the exchange of documents and information in electronic form; access of Logistics Partner to the IS is provided through a remote web - interface (Personal Account) or API.
Logistics Partner (or Ozon Logistics Partner) means an organization that has entered into this Agreement and provides Ozon with freight forwarding services for organizing the international transportation of Shipments.
Client means an individual who has entered into a sales contract with the Seller, providing for the delivery of the Goods to the place of receipt, being the Recipient and the Declarant.
International transportation means the transportation of goods by various modes of transport, in which the point of departure or the point of destination of the goods is located outside the territory of the Russian Federation.
Unclaimed Shipment means a Shipment that was not handed over to the Client for reasons dependent on the Client, or which the Client refused to accept both during the transportation period and at the time of its delivery to the Client, as well as in cases where:
- the Goods contained in the Shipment are included in the list of prohibited or restricted for import, export or transportation;
- there are no shipping, commercial and permitting documents for the Goods, as well as the necessary information about the Goods and / or the Client.
Declared Value means the value of the Shipment, determined and indicated by Ozon, establishing the amount of responsibility of Logistics Partner in case of loss/damage of this Shipment due to the fault of Logistics Partner.
Sender means a person from whom, in accordance with the instructions of Ozon, Logistics Partner accepts the Shipment for transportation specified in the accompanying documents for the Shipment, which is the Seller of the Goods and the Customer under the Contract for the placement of goods from abroad on OZON.RU (cross-border).
Shipment means an item or a set of goods ordered by the Client, which the Sender has packed and labeled.
Platform means an aggregator of information about goods - an information system (computer program) posted on the Site, which provides the Sellers with the opportunity to place goods for the purpose of sale, and Logistics Partner to provide services for the delivery of these goods to Clients.
Recipient - the person specified in the accompanying documents, to whose address the delivery of the Shipment is carried out.
Seller means a person who offers goods for sale to Clients through the technical resources of the Platform, who has entered into a sales contract with the Client and is the Sender under this Agreement.
Section means this Section “Freight forwarding services for organizing the international transportation” which is a part of the Agreement with Logistics Partners.
Logistics Partners Regulations (when providing freight forwarding services for organizing the international transportation) means a document describing the conditions under which Logistics Partner provides freight forwarding services for organizing the international transportation of Shipments in accordance with the Agreement.
Website means www.ozon.ru and Ozon mobile application, which are owned and operated by Ozon.
Status “Delivered” means the status of the delivered Shipment, which is assigned to the Shipment by the Ozon internal system in 5 (five) minutes after receiving the Status “Conditionally delivered”.
Status “Conditionally delivered” means the status assigned to the Shipment upon delivery to the Client based on data from the Logistics Partner or from a third party engaged by him, integrated into the Ozon system.
Item or Goods means objects of the material world owned by the Seller, purchased by the Client on the Website and transferred to Logistics Partner for transfer to the Client specified in the Request.
Freight forwarding services mean services provided by Logistics Partner for organizing the international transportation of Shipments, including, but not limited to, acceptance, processing, customs clearance, storage, organization of transportation, transfer of the Shipment and execution of all documents necessary for the international transportation of Shipments.
Services mean freight forwarding services for organizing the international transportation of Shipments, provided under this Agreement.
Barcode means a unique graphic image containing letters and numbers applied by the Seller to the Shipments.
The definitions agreed above shall be applied by the Parties in further correspondence, agreements and other documents relating to the Agreement, unless otherwise provided by the Agreement. Terms defined above in the singular include the plural and vice versa.
2. Subject #
2.1. In accordance with the terms of this Section, Logistics Partner undertakes to provide Ozon with freight forwarding services for organizing the international transportation of Shipments in the manner set forth in Logistics Partners Regulations (when providing freight forwarding services for organizing the international transportation).
2.2. The activity of Logistics Partner is carried out at the expense of Logistics Partner itself, the risks arising in connection with the organization of the international transportation of Shipments are assumed by Logistics Partner.
2.3. The quality of the freight forwarding services provided by Logistics Partner for the international transportation of Shipments must meet the requirements of the national standards of the Russian Federation and the countries of the Shipments, regulatory legal acts in the field of freight forwarding activities, as well as the conditions of this Section.
Changes in the Logistics Partners Regulations (when providing freight forwarding services for organizing the international transportation) #
2.4. Ozon has the right to change the conditions for the provision by Logistics Partners of freight forwarding services for organizing the international transportation of Shipments (with the exception of rates for the provision of services, time-limits for the provision of services) posted on Ozon Website, as well as contained in the Logistics Partners Regulations (when providing freight forwarding services for organizing the international transportation) to this Agreement unilaterally by notifying Logistics Partner at least 7 (seven) calendar days before the entry into force of such changes.
Section Application #
2.5. The provisions of the Agreement shall apply to the extent not inconsistent with this Section. In the event of a conflict between this Section and the provisions of the Agreement, this Section shall prevail.
3. Procedure for Providing Freight Forwarding Services #
3.1. The procedure for the provision by Logistics Partner of freight forwarding services for organizing the international transportation of Shipments is established in the Logistics Partners Regulations (when providing freight forwarding services for organizing the international transportation).
3.2. Logistics Partner undertakes to immediately transfer to Ozon via API information about the fact of delivery to the Client of each Shipment (delivered Shipment), including the actual weight characteristics of the Shipment. Based on the Ozon internal system, the Status “Delivered” is assigned to the Shipment in 5 (five) minutes after the Status “Conditionally Delivered” was assigned.
3.3. Logistics Partner has the right to involve third parties in the performance of its obligations under the Agreement and is liable for the improper performance of their obligations by them. If a third party engaged by Logistics Partner is integrated into the Ozon system, the statuses of performance of freight forwarding services transferred under the Agreement may be obtained by Ozon directly from such third party. Receiving statuses from such third parties is equivalent to receiving statuses directly from the Logistics Partner.
3.4. The obligation for Logistics Partner to perform freight forwarding services for organizing international transportation is considered fulfilled on the date when the Shipment is considered delivered based on the Status “Delivered” (as defined in clause 1 of this Section).
4. Remuneration, Reporting Documents and Payment #
4.1. The cost of freight forwarding services #
The cost of freight forwarding services within the framework of this Section (rates of Logistics Partner) is specified in the Commercial Terms to the Agreement with Logistics Partners.
To determine the cost of freight forwarding services, the rates in effect at the time of the Client’s Order are applied.
4.2. Reporting period #
The reporting period is a calendar month.
4.3. Sending reporting documents to Ozon #
4.3.1. No later than the 1st (first) day of the month following the reporting month, Ozon sends the list of delivered Shipments to Logistics Partner (based on the Status “Delivered”). No later than the 3rd (third) day of the month following the reporting month, Logistics Partner, according to the list of delivered Shipments received from Ozon (based on the Status “Delivered”) undertakes to provide Ozon with the Certificate of services rendered, as well as a transcript of the Certificate. Ozon undertakes to approve and send the Certificate signed on its part or send reasoned objections within 3 (three) business days from the date of its receipt.
4.3.2. Documents confirming the provision of freight forwarding services in a form acceptable in accordance with the norms of the current legislation of the Russian Federation are attached to the Certificate.
Act of reconciliation #
4.3.3. At the end of each calendar quarter, no later than the 25th (twenty-fifth) day of the month following that quarter, Ozon sends Logistics Partner an Act of reconciliation for the calendar quarter. Logistics Partner, within 2 (two) business days after sending the Act of reconciliation to Ozon, undertakes to approve it or send motivated objections by sending its version of the Act of reconciliation. In any case, the Parties undertake to agree on the Act of reconciliation within 5 (five) business days from the date of sending the Act of reconciliation.
4.4. Carry over forward to the next reporting period #
For the purposes of making settlements under this Section, the Parties have agreed that the reporting documents should reflect the Shipments delivered to the Client during the reporting period (from the first to the last day of the calendar month) based on the Status “Delivered” according to the Ozon internal system. Shipments with the assigned Status “Conditionally delivered”, but not delivered based on the Status “Delivered” according to the Ozon internal system for the reporting period, are subject to accounting and reflection in the reporting documents in the next reporting period (calendar month).
5. Quality Indicators of Service Performance by Logistics Partner #
5.1. Ozon has the right to establish quality indicators for the performance of services by Logistics Partner, including those indicated in the table below, as well as other indicators, and their critical level. Ozon has the right to change indicators and their target indicator or critical level unilaterally, notifying Logistics Partner about these indicators.
5.2. If the quality indicators of services by Logistics Partner deteriorate to a critical level or if the target quality indicator is not achieved, Ozon has the right to suspend the performance of obligations under the Agreement or terminate the Agreement.

For calculation purposes, the share of all Shipments delivered during the reporting period from the total number of Shipments was taken (except for those canceled not at the initiative/fault of Logistics Partner.
